Types of Business Entities in Peru
Sociedad Anónima (S.A.): The most common and recommended structure.
Sociedad Anónima Cerrada (S.A.C.): Similar to S.A. but without a Board of Directors.
Sociedad Anónima Abierta (S.A.A.): Designed for companies with shares traded on the stock exchange.
Sociedad Comercial de Responsabilidad Limitada (S.R.L.): A partnership-style entity.
Peruvian Branch Office: Operates as an extension of the foreign company.
Thus, each entity type offers distinct legal frameworks and protections.
Board of Directors
Shareholders appoint the Board during a formal meeting. Furthermore, the Board must include at least three members. Foreigners and non-residents may also serve as board members.
CEO (Gerente General)
The Board of Directors or shareholders appoint the CEO, legally called Gerente General. Peruvian nationality is not required. However, the CEO must obtain a work visa and authorization from immigration authorities. This requirement exists because the CEO represents the company before third parties and government institutions.
